Terms of Service

These Terms of Service, including the End User License terms below (collectively, the “Terms”), govern your access to and use of Spicy, including the Spicy mobile application, related websites, content, features, and services (collectively, the “Service”).
Spicy is operated by Gud Token Inc., 2nd Floor, Ellen L. Skelton Building, Fishers Lane, Road Town, Tortola, British Virgin Islands, VG 1110 (“Spicy,” “we,” “our,” or “us”).
By accessing or using the Service, you agree to these Terms. If you do not agree to these Terms, do not access or use the Service.
You must accept these Terms before creating, posting, uploading, submitting, or otherwise making User Content available through the Service.
1. Eligibility
You must be at least 13 years old to use the Service. By using Spicy, you represent that you meet this minimum age requirement and that you have the legal capacity to agree to these Terms.
2. Accounts and Guest Use
You may use some parts of the Service as a guest, and some features may require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account or guest session.
You agree to provide accurate information when creating or updating your account and to keep that information reasonably current. You may not use another person's account, impersonate another person or entity, or create an account using false or misleading information.
We may refuse, suspend, restrict, or terminate access to the Service if we reasonably believe you have violated these Terms, created legal risk, harmed other users, abused the Service, or threatened the security or integrity of Spicy.
3. End User License Agreement (EULA)
Subject to your compliance with these Terms, Spicy grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, access, and use the Spicy mobile application solely for your permitted use of the Service. If you download the app from the Apple App Store, this license is limited to use on Apple-branded products that you own or control and as permitted by Apple's Usage Rules in the Apple Media Services Terms and Conditions.
You do not acquire ownership of the app, software, source code, trademarks, designs, interfaces, or other intellectual property rights in Spicy. All rights not expressly granted to you are reserved by Spicy and its licensors.
You may not:
- copy, modify, adapt, translate, or create derivative works of the app or Service except as allowed by law;
- reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying ideas of the app or Service except to the extent such restriction is prohibited by applicable law;
- rent, lease, lend, sell, sublicense, distribute, publish, or otherwise transfer the app or Service to any third party;
- remove, obscure, or alter any copyright, trademark, or proprietary notices;
- use the app or Service to develop a competing product or service;
- interfere with or circumvent security, access controls, rate limits, or technical restrictions; or
- use automated scripts, bots, scrapers, or other automated methods to access or manipulate the Service without our prior written permission.
This license will terminate automatically if you violate these Terms. Upon termination, you must stop using the app and Service and delete any copies of the app in your possession, subject to standard app store uninstall processes.
4. Apple App Store EULA Acknowledgment
If you download or use Spicy through the Apple App Store, the following additional terms apply:
- These Terms are between you and Spicy, not Apple. Apple is not a party to these Terms.
- Spicy, not Apple, is solely responsible for the app and its content.
- Apple has no obligation to provide maintenance or support services for the app.
- To the maximum extent permitted by applicable law, Apple has no warranty obligation with respect to the app. Any claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are Spicy's responsibility to the extent required by these Terms or applicable law.
- Spicy, not Apple, is responsible for addressing any claims by you or any third party relating to the app or your possession or use of the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar laws.
- If a third party claims that the app or your possession and use of the app infringes that third party's intellectual property rights, Spicy, not Apple, is responsible for the investigation, defense, settlement, and discharge of that claim to the extent required by these Terms or applicable law.
- You represent and warrant that you are not located in a country or region that is subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- You must comply with applicable third-party terms of agreement when using the app.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple has the right to enforce these Terms against you as a third-party beneficiary.
5. User Content
The Service may allow you to create, post, submit, vote on, comment on, reply to, like, report, or otherwise interact with polls, comments, profile information, reports, AI-assisted draft content, and other materials (“User Content”).
You retain ownership of the User Content you create, subject to the rights granted in these Terms. You are solely responsible for your User Content and for ensuring that you have all rights necessary to submit and share it through the Service.
By submitting User Content to Spicy, you grant Spicy a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, perform, distribute, publish, modify for formatting or technical purposes, create derivative works from, and otherwise use your User Content as reasonably necessary to operate, provide, improve, moderate, and protect the Service. For public or visible User Content, this license also allows us to display or reference that content in connection with promoting or explaining the Service.
You understand that some User Content may be visible to other users or the public. Do not submit User Content that you do not want others to see, use, or associate with you.
6. Content Rules and Prohibited Conduct
You agree that you will not use the Service to create, post, submit, or promote User Content, or engage in conduct, that:
- is unlawful, fraudulent, deceptive, defamatory, obscene, sexually explicit, exploitative, or otherwise harmful;
- harasses, threatens, bullies, abuses, intimidates, doxxes, or targets another person or group;
- promotes hate, dehumanization, harassment, or violence based on protected characteristics such as race, ethnicity, national origin, religion, caste, sex, gender, gender identity, sexual orientation, disability, age, veteran status, or other legally protected status;
- promotes, praises, instructs, or encourages violence, terrorism, extremist activity, self-harm, suicide, eating disorders, exploitation, trafficking, or illegal activity;
- contains, solicits, promotes, or facilitates child sexual abuse material, sexualization or exploitation of minors, grooming, trafficking, non-consensual intimate imagery, sexual extortion, or any sexual content involving minors;
- infringes, misappropriates, or violates intellectual property, privacy, publicity, or other rights of any person or entity;
- contains spam, scams, phishing attempts, malware, malicious links, or manipulative engagement schemes;
- attempts to manipulate votes, rankings, rewards, account status, comments, reports, or other Service features;
- uses coordinated inauthentic behavior, bots, scripts, fake accounts, or other automated or deceptive methods;
- circumvents blocks, suspensions, rate limits, access controls, or moderation actions;
- collects or attempts to collect personal information from other users without permission;
- interferes with the security, availability, integrity, or proper operation of the Service; or
- violates these Terms, our policies, or applicable law.
7. Polls, Voting, Comments, Reports, and Blocking
Spicy is designed for social polls, voting, comments, and discussion. You agree to participate in good faith and not to manipulate votes, spam polls or comments, misrepresent your identity, or use the Service to harass or harm others.
The Service provides in-app tools that allow users to report objectionable content, report objectionable users, and block other users on supported public content and profile surfaces. These tools are provided to support user safety and moderation for publicly visible User Content.
Blocking is intended to prevent blocked users from interacting with you or your content through supported app surfaces. Some limitations may apply due to technical constraints, public content visibility, cached content, or actions taken outside the Service.
We may review reports and take action we consider appropriate against objectionable content or users who violate these Terms, including removing content, limiting distribution, restricting features, suspending or terminating accounts, preserving information for safety or legal reasons, or declining to take action.
8. Moderation and Enforcement
We may remove content, restrict features, suspend or terminate accounts, or take other appropriate action if we reasonably believe a user has violated these Terms, created legal risk, harmed other users, abused the Service, or threatened the security or integrity of Spicy.
Where appropriate, we may provide notice or an opportunity to contact us, but we are not required to do so when urgent action is needed for safety, security, legal, or abuse-prevention reasons.
If your content, account, or access is restricted and you believe this was a mistake, you may contact us at [email protected]. We may review the issue, but we are not obligated to restore content, features, or accounts where we reasonably believe the action was necessary or appropriate.
We use moderation practices appropriate to the nature of the Service, including user reports, blocking tools, and review of reported content or accounts. We aim to review reports and take appropriate action within a reasonable timeframe, especially for content involving safety, abuse, exploitation, or legal risk.
We do not undertake to monitor all User Content or activity before it appears. However, we reserve the right to review, moderate, remove, or restrict User Content or accounts at our discretion and as required by applicable law or platform policies.
9. AI-Assisted Features
Spicy may provide AI-assisted features, including tools that help generate or enrich poll details based on draft poll questions and options you provide.
AI-generated or AI-assisted output may be inaccurate, incomplete, inappropriate, or unsuitable for your intended purpose. You are responsible for reviewing AI-assisted output before posting, sharing, or relying on it. You are responsible for ensuring that any content you publish complies with these Terms and applicable law, even if the content was generated or assisted by AI.
AI-assisted or AI-generated content that is objectionable, harmful, or violates these Terms may be reported through in-app reporting tools and may be removed or restricted like other User Content.
We may limit, modify, suspend, or discontinue AI-assisted features at any time. AI-assisted usage may be subject to usage limits or availability constraints.
10. In-App Points, Rewards, and Pepper Powder
Spicy may include in-app points, rewards, credits, balances, or similar features, including “pepper powder” (collectively, “In-App Points”). At this stage, In-App Points are provided only as part of the app experience.
Pepper powder may be awarded for participation in the Service, including voting, posting polls, receiving engagement, or other in-app activity. The ways to earn, use, display, lose, or keep pepper powder may change as the Service evolves.
In-App Points are not money, currency, securities, financial instruments, stored value, gift cards, cryptocurrency, tokens, or property. They have no cash value, cannot be redeemed for money or anything of monetary value, and cannot be sold, transferred, traded, exchanged, withdrawn, or assigned outside the Service.
We may create, grant, adjust, expire, revoke, reset, limit, or discontinue In-App Points at any time if we reasonably believe it is necessary to operate the Service, correct errors, prevent abuse, enforce these Terms, comply with law, or modify the product experience.
If we introduce new functionality in the future that changes the nature of In-App Points, we will update these Terms and any applicable disclosures before that functionality becomes available.
11. Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the Service, you acknowledge that your information will be handled as described in our Privacy Policy.
12. App Stores and Third-Party Services
Your download and use of the Spicy app may also be subject to the rules, terms, and policies of the app store or platform from which you downloaded the app, such as Google Play or the Apple App Store.
The Service may contain links to or integrations with third-party services. We are not responsible for third-party services, content, terms, privacy practices, or availability. Your use of third-party services is governed by their own terms and policies.
13. Service Changes and Availability
We may modify, suspend, or discontinue all or part of the Service, including features, content, AI-assisted tools, notifications, reports, blocking, profiles, polls, comments, In-App Points, or other functionality, at any time. We may also impose limits on certain features or restrict access to parts or all of the Service.
We do not guarantee that the Service will be available, uninterrupted, secure, or error-free, or that any content or information will be preserved or remain available.
14. Intellectual Property
The Service, including software, designs, graphics, interfaces, trademarks, logos, text, and other materials provided by Spicy, is owned by Spicy or its licensors and is protected by intellectual property and other laws.
You may not use Spicy's name, trademarks, logos, or branding without our prior written permission, except as allowed by law.
15. Copyright and Intellectual Property Complaints
If you believe content on Spicy infringes your copyright or other intellectual property rights, please contact us at [email protected] with information sufficient for us to identify the content and evaluate your request, including your contact information, a description of the protected work, the location of the allegedly infringing content, and a statement that you believe in good faith that the use is not authorized.
We may remove or restrict access to content that we believe may infringe intellectual property rights, and we may suspend or terminate repeat infringers where appropriate.
16. Feedback
If you submit ideas, feedback, suggestions, or proposals about Spicy, you grant us the right to use them without restriction or compensation to you. We are not obligated to treat feedback as confidential.
17. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Spicy disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.
Spicy does not warrant that the Service, User Content, AI-assisted output, notifications, search results, In-App Points, or any other feature will be accurate, complete, secure, uninterrupted, error-free, or suitable for your needs.
18. Limitation of Liability
To the fullest extent permitted by law, Spicy and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of or inability to use the Service.
To the fullest extent permitted by law, Spicy's total liability for any claim arising out of or relating to the Service or these Terms will not exceed USD $100.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
19. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Spicy and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of applicable law; or (e) your violation of the rights of another person or entity.
20. Termination
You may stop using the Service at any time. You may request deletion of your account through the methods described in our Privacy Policy.
We may suspend, restrict, or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, created risk or possible legal exposure for us or others, abused the Service, or threatened the security or integrity of Spicy.
Sections that by their nature should survive termination will survive, including sections relating to User Content licenses, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
21. Changes To These Terms
We may update these Terms from time to time. Unless otherwise required by law, we will notify you of material changes through the Service or another reasonable method. The updated Terms will be effective when posted or at the time stated in the notice.
If you continue to use the Service after updated Terms become effective, you agree to the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
22. Governing Law
These Terms are governed by the laws of the British Virgin Islands without regard to its conflict of laws provisions, except where applicable local law provides otherwise. Your use of the Service may also be subject to other local, state, national, or international laws.
23. Dispute Resolution
If you have a concern or dispute, please contact us first at [email protected] so we can try to resolve it informally.
To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or the Service will be resolved in the courts of the British Virgin Islands, except where applicable law gives you rights to bring claims in another jurisdiction.
24. Miscellaneous
These Terms, together with our Privacy Policy and any additional terms that apply to specific features, constitute the entire agreement between you and Spicy regarding the Service.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
